CREATOR5 TERMS OF SERVICE

These Terms of Service ("Terms") govern your membership in CREATOR5, a brand operated by PEPPER, ELENORE & ABBEY, INC. ("CREATOR5," "we," "us," or "our"). Please read them carefully before completing your purchase.

01. Scope of Services

CREATOR5 offers a unique membership geared toward the UGC community and all aspects of branding, marketing, and profiting. CREATOR5 provides its members with access to the following (collectively, the "Services"):

i. A private online community hosted on Discord, including regional rooms, member voice lounges, follow train and networking areas, and a UGC job board;

ii. A self-paced twelve module online course covering UGC foundations, content creation, the Amazon Influencer Program, TikTok Shop affiliate, affiliate marketing, and additional creator monetization methods;

iii. A member portal providing access to course content and self-serve billing management;

iv. Group coaching and community calls, including monthly CREATOR5 Connect calls, office hours with CREATOR5 coaches, and monthly new member orientation;

v. Access to CREATOR5 Approved Partners, who make themselves available within the community to answer member questions in their areas of expertise;

vi. A video library of recorded calls, trainings, and replays;

vii. A coursework feedback channel and access to CREATOR5 Member Services;

viii. Eligibility to purchase virtual workshops and other CREATOR5 offerings at member pricing;

ix. Eligibility to earn the Omni-Present Creator certification upon completion of the required coursework and assessment; and

x. Access to member benefits, discounts, and promotional opportunities offered through CREATOR5 partners and third party platforms from time to time.

The specific features, channels, tools, partners, benefits, and programming included in the Services are subject to change, substitution, or discontinuation at the sole discretion of CREATOR5. Certain benefits may be limited to specific membership terms or tiers, and will be identified as such at the time of purchase.

02. Membership Term, Billing, and Cancellation

i. Recurring Subscription. CREATOR5 membership is a recurring subscription. By completing your purchase, you authorize CREATOR5 and its payment processor to charge your designated payment method the applicable membership fee, plus any applicable taxes, on a recurring basis until you cancel.

ii. Automatic Renewal. Your membership will automatically renew at the end of each billing period at the rate applicable to your membership, unless you cancel before the renewal date. Monthly memberships renew monthly. Annual memberships renew annually.

iii. Promotional Rates and Trials. If your membership begins with a promotional rate, coupon code, or trial period, your membership will automatically convert to the applicable recurring rate at the conclusion of that promotional or trial period unless you cancel first. Locked-in, founding, and legacy rates apply only for so long as the membership remains continuously active, and are forfeited upon cancellation, lapse, or non-payment.

iv. Cancellation Is Immediate. You may cancel your membership at any time through the self-serve billing area of the member portal or by contacting CREATOR5 Member Services. Cancellation takes effect at the moment you cancel. There is no grace period and no continued access through the end of the billing period you have already paid for. Upon cancellation, your access to the community, the member portal, the course, and all other Services ends immediately.

v. No Prorated Amounts. CREATOR5 does not offer prorated returns, credits, or refunds. If you cancel before your next billing date, you are not entitled to a refund, credit, or reimbursement of any portion of the fee already paid for the current billing period, and you forfeit any remaining days in that period. Cancelling does not entitle you to any refund or exchange under any circumstances.

vi. Failed Payments. If a payment is declined or otherwise fails, CREATOR5 may suspend or terminate your access to the Services until payment is successfully processed. CREATOR5 may reattempt the charge and may update payment credentials through its processor's account updater services.

vii. CREATOR5 University. Enrollment in CREATOR5 University is governed by its own separate enrollment agreement and terms of service. When your CREATOR5 University enrollment ends, these Terms govern your continued CREATOR5 membership in full, at the membership rate then in effect.

viii. Price Changes. CREATOR5 does not raise the rate of an active, continuously paid membership. Your rate is protected for as long as your membership remains active and in good standing. However, that protection is tied to continuous membership and is not portable. If you cancel your membership and later choose to rejoin, you are not entitled to your previous rate, and you must sign up at the rate then in effect at the time you rejoin, even if pricing has increased since you cancelled.

03. No Refunds or Exchanges

The services provided are of a unique and original quality. All purchases are final. No refunds, returns, or chargebacks will be provided under any circumstances. This includes, without limitation, non-use of the Services, failure to access or participate in the Services, dissatisfaction with results, and cancellation at any point within a billing period. Initiating a chargeback or payment dispute in violation of these Terms constitutes a material breach and may result in immediate termination of your membership without refund and forfeiture of any legacy, founding, or promotional rate.

04. Intellectual Property

CREATOR5 is and shall be the sole and exclusive owner of all right, title, and interest throughout the world in and to all content, materials, and information provided as part of the Service, including but not limited to text, graphics, documents, and proprietary methods, which are exclusively owned by CREATOR5 and are protected by applicable intellectual property laws. No ownership rights in any of CREATOR5's intellectual property rights are transferred to you.

05. Limited License

Any materials, content, or information provided to you as part of the Service are licensed to you on a limited, non-exclusive, non-transferable basis solely for your personal use within the scope of the Services. Such materials may include but are not limited to course modules and videos, workshop and training recordings, call and community replays, worksheets, checklists, templates, scripts, rate guidance, portfolio and profile frameworks, downloadable documents, proprietary frameworks and methodologies, and written guidance provided by CREATOR5, its coaches, its expert trainers, or its Approved Partners ("Materials"). You may not copy, reproduce, distribute, modify, share, or use such Materials for any purpose outside of the service without prior written consent from CREATOR5. You expressly agree not to use any Materials or information obtained through the Service for commercial purposes, competitive purposes, or in any way that is inconsistent with the intended purpose.

Without limiting the foregoing, you agree that you will not use the Materials or your access to the Services to build, market, or operate a competing membership, course, coaching program, or community.

06. Account Access

Your membership is personal to you. Login credentials, community access, and Materials may not be shared, sold, transferred, assigned, or made available to any other person or entity. CREATOR5 may terminate the membership of any member who shares access, without refund.

07. Member Conduct and Community Standards

Participation in the CREATOR5 community is a privilege conditioned on your compliance with these Terms and any community guidelines published by CREATOR5. You agree that you will not:

i. Harass, threaten, demean, discriminate against, or abuse any member, coach, partner, guest, or staff member;

ii. Solicit, recruit, advertise, or promote any product, service, program, community, or opportunity to CREATOR5 members without the prior written consent of CREATOR5;

iii. Share, screenshot, record, repost, or otherwise distribute any community discussion, member information, call recording, or Material outside of the Services;

iv. Post content that is unlawful, infringing, defamatory, sexually explicit, or otherwise inappropriate for the community;

v. Misrepresent your identity, affiliation, earnings, or credentials; or

vi. Use bots, scrapers, or automated tools to collect member information or Materials.

CREATOR5 reserves the right, in its sole discretion, to issue warnings, restrict access to any portion of the Services, remove content, or terminate a membership for any violation of this Section, without refund.

08. Confidentiality

The CREATOR5 community is a private space. You acknowledge that members share business information, income figures, strategies, and personal circumstances in reliance on that privacy. You agree to treat all member communications, submissions, and discussions occurring within the Services as confidential, and not to disclose them outside the Services without the express permission of the member who shared them.

09. Events, Recordings, and Media Release

i. Recording. CREATOR5 events, calls, workshops, coaching sessions, orientations, and community gatherings, whether virtual or in person, may be recorded, photographed, live streamed, or otherwise captured in audio, video, or still image form.

ii. Grant of Rights. By participating in any CREATOR5 event or program, whether virtual or in person, you grant CREATOR5 the irrevocable, perpetual, worldwide, royalty free right and permission to record, photograph, reproduce, edit, publish, broadcast, and otherwise use your name, likeness, image, voice, statements, and appearance, in whole or in part, in any medium now known or later developed.

iii. Permitted Uses. These uses include but are not limited to marketing and promotional materials, the CREATOR5 website and sales pages, social media content, paid advertising, email campaigns, course and training materials, testimonials, case studies, replays, and internal or member facing archives.

iv. No Further Compensation. You acknowledge and agree that you are not entitled to any payment, royalty, residual, credit, approval right, or other compensation of any kind in connection with any such use, now or in the future, and you waive any right to inspect or approve the finished materials.

v. Waiver. You release CREATOR5, its officers, employees, coaches, partners, contractors, and assigns from any and all claims arising out of the use of your name, likeness, image, voice, or statements as described in this Section, including claims for defamation, invasion of privacy, or right of publicity.

vi. Opting Out. If you do not wish to appear in recorded or captured materials, you must notify CREATOR5 Member Services in writing in advance of the event, and, where a virtual event permits it, keep your camera off and remain muted only as needed. CREATOR5 will make reasonable efforts to accommodate such requests but cannot guarantee exclusion from incidental capture at in person events.

10. No Guarantee of Results, Income Disclosure, and No Professional Advice

i. Success depends on numerous factors outside the control of CREATOR5 thus past results or experiences are not indicative of future outcomes. CREATOR5 makes no guarantees regarding any specific results or success from the use of the Service.

ii. Any earnings, income, revenue, or results referenced by CREATOR5, its founder, its coaches, its expert trainers, its Approved Partners, or its members, whether in marketing materials, community discussions, calls, testimonials, or case studies, are illustrative only. They represent the individual experience of the person described and are not typical, average, or promised results.

iii. CREATOR5 does not guarantee that you will be approved for, accepted into, or able to earn from any third party platform or program, including but not limited to UGC marketplaces, the Amazon Influencer Program, TikTok Shop, or any affiliate network. Approval, eligibility, thresholds, commission structures, and program rules are set by those third parties and are subject to change without notice.

iv. No Financial, Tax, or Legal Advice. CREATOR5 is not a law firm, accounting firm, tax preparer, or financial advisor, and no CREATOR5 founder, coach, expert trainer, partner, or staff member is acting as your attorney, accountant, certified public accountant, enrolled agent, tax professional, or financial advisor. Nothing provided through the Services constitutes financial, tax, legal, accounting, investment, or business advice.

v. Business Formation and Recordkeeping. The Services include general educational information regarding creator business practices, which may include suggestions such as forming a limited liability company or other business entity, tracking business expenses, separating business and personal finances, saving for taxes, or maintaining records. This information is offered as general education and personal opinion drawn from experience in the creator industry. It is not tailored to your circumstances, jurisdiction, entity type, income level, or tax situation, and it is not a substitute for advice from a licensed attorney or tax professional. You should consult qualified professionals in your own state before forming an entity, making a tax election, claiming a deduction, or making any financial decision.

vi. Your Own Risk. Any action you take based on information provided through the Services is taken solely at your own risk. CREATOR5 assumes no responsibility or liability for any entity formation, tax filing, deduction, election, expense treatment, contract, rate, negotiation, business decision, or financial outcome resulting from your use of the Services.

vii. Your results will depend on your own effort, skill, consistency, market conditions, and factors outside the control of CREATOR5. You are solely responsible for your own business decisions, tax obligations, and compliance with applicable law, including all disclosure obligations that apply to sponsored, affiliate, and branded content.

11. Third Party Partners, Tools, and Platforms

The Services may include access to, discounts for, referrals to, or education regarding third party platforms, software, tools, coaches, expert trainers, and Approved Partners. CREATOR5 does not control these third parties and is not responsible for their products, services, availability, pricing, conduct, content, or terms. Any transaction or relationship you enter into with a third party, including any privately purchased coaching or service from a CREATOR5 coach or partner, is solely between you and that third party. CREATOR5 may receive compensation, commissions, or other consideration in connection with certain partner relationships.

12. Limitation of Liability

CREATOR5 shall not be responsible for any consequential, special, incidental, or indirect losses or damages of any nature arising out of your use of the Services. To the maximum extent permitted by law, the total aggregate liability of CREATOR5 arising out of or relating to these Terms or the Services shall not exceed the total amount of membership fees you paid to CREATOR5 in the three months immediately preceding the event giving rise to the claim. The Services are provided on an as is and as available basis, without warranties of any kind, whether express or implied.

13. Termination

i. You may terminate your membership at any time as described in Section 02, with cancellation effective immediately and no refund of any kind.

ii. CREATOR5 may suspend or terminate your membership and access to the Services at any time, with or without notice, for violation of these Terms, non-payment, or conduct that CREATOR5 determines in its sole discretion to be harmful to the community, its members, its staff, or its brand.

iii. Upon termination for any reason, your license to the Materials immediately ends, your access to the community and member portal is revoked, and any legacy rate, founding rate, promotional rate, role, or status associated with your membership is forfeited. Sections 03 through 12 and 14 through 16 survive termination.

14. Changes to the Services and to These Terms

CREATOR5 may modify, add to, or discontinue any part of the Services at any time. CREATOR5 may also update these Terms from time to time. The updated version will be posted with a revised "Last Updated" date, and material changes will be communicated to active members. Your continued membership after the effective date of any update constitutes your acceptance of the updated Terms.

15. Venue and Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising out of or relating to these terms and conditions or the Service shall be brought exclusively in the applicable state or federal courts located within Broward County, State of Florida, and you consent to the personal jurisdiction in such courts.

16. Acceptance of Terms

By completing your purchase, you acknowledge that you have read, understood, and agree to be bound by the foregoing terms of service. If you are not agreeable to any of these terms as stated herein, please do not complete your purchase.
